PAULA NG is one of 2 partners of the Firm in Penang with more than ten (10) years experience in corporate proposals, corporate banking and conveyancing transactions.

She specializes in corporate work and has extensive experience in handling corporate transactions and documentation including personally conducting due diligence corporate meetings for the purpose of various corporate.

Apart from conducting the relevant due diligence meetings in relation to corporate proposals, she advises and prepares the relevant documentation and agreements required for such corporate proposals and related matters thereto including the Sale of Shares and Share Swap Agreements, application for Stamp Duty Exemption, Deed Poll, Trust Deeds, Underwriting Agreements, Joint Venture Agreement, Shareholders Agreement (including agreements which relates to protection of minority interest), Due Diligence Planning Memorandum, Verification Notes, Due Diligence Reports, Directors’ Declaration and Undertaking, Shareholders’ Declaration and Undertaking, Undertaking on Moratorium of Shares and numerous other documents related to the relevant corporate proposals.

Certificate of Legal Practice- 1995

Admission to the Malaysian Bar in 1996.

Areas of Practice:

  • Corporate matters such as proposals including listing and quotation of the issued share capital of public companies on the Bursa Malaysia Securities Berhad (“Bursa Malaysia”) and other corporate exercises such as, Rights Issue, Warrants, Bonus Issue, Related Party Transactions, Recurrent Related Party Transactions, Employees’ Share Option Schemes, Transfer of Public Listed Companies from the Second Board of the Bursa Malaysia to the Main Board of the Bursa Malaysia, Issuance and Extension of Warrants, Share Splits, Issuance of Irredeemable Convertible Unsecured Loan Stocks, Amendments to Articles of Association and Reverse Takeover Bids.
